Terms and Conditions

1. Introduction

Welcome to Sonic Sanctuary Studios! These terms and conditions govern your use of our services and website. By accessing or using our services, you agree to be bound by these terms. If you disagree with any part of these terms, you may not use our services. Sonic Sanctuary Studios is owned and operated by LLC EchoSphere Studios, OGRN 5 87 23 910 46589, INN 0495011020, located at 14 Oak Street, Suite 2B, Metropolis, NY 10005.

2. Definitions

For the purpose of these terms and conditions:

  • "Studio" refers to Sonic Sanctuary Studios.
  • "Services" refers to all recording, mixing, mastering, and other audio production services provided by the Studio.
  • "Client" refers to any individual or entity that uses the Studio's services.
  • "Content" refers to any audio, video, or other materials created or used in connection with the Services.

3. Usage Rights and Restrictions

The Studio grants the Client a non-exclusive, non-transferable license to use the Content created during the Services for the Client's intended purpose, subject to full payment of all fees. The Studio retains all copyrights and other intellectual property rights in the Content, except as explicitly granted to the Client in writing. The Client may not:

  1. Resell, redistribute, or sublicense the Content without the Studio's prior written consent.
  2. Use the Content in a manner that infringes upon the rights of any third party.
  3. Use the Content for any illegal or unauthorized purpose.
  4. Claim ownership of the underlying works or composition, unless otherwise agreed upon in writing.

4. Payment Terms

Payment for the Services is due as follows:

  • A deposit of 50% of the total estimated cost is required upon booking the Studio.
  • The remaining balance is due upon completion of the Services and before the delivery of the final Content.
  • Overdue payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • The Studio reserves the right to withhold delivery of the final Content until all payments are received in full.

5. Cancellation and Rescheduling

Cancellations and rescheduling are subject to the following terms:

  • Cancellations made more than 72 hours before the scheduled session will result in a full refund of the deposit.
  • Cancellations made within 72 hours of the scheduled session will result in forfeiture of the deposit.
  • Rescheduling is subject to availability and may incur additional fees.
  • The Studio reserves the right to cancel or reschedule sessions due to unforeseen circumstances. In such cases, the Client will be offered a full refund or the option to reschedule at no additional cost.

6. Liabilities and Disclaimers

The Studio is not liable for any loss, damage, or corruption of the Client's Content. The Client is responsible for backing up all Content. While we strive to provide the highest quality services, the Studio disclaims all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose. In no event shall the Studio be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services.

7. Studio Equipment and Client Property

The Client is responsible for the safekeeping of their personal property while on the Studio premises. The Studio is not responsible for any loss or damage to the Client's equipment or belongings. The Client is expected to use Studio equipment responsibly and in accordance with the instructions provided. Any damage to Studio equipment caused by the Client's negligence or misuse will be the Client's responsibility, and the Client will be liable for the cost of repair or replacement.

8. Dispute Resolution

Any disputes arising out of or relating to these terms and conditions shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles, California. The decision of the arbitrator shall be final and binding on both parties. The Client and the Studio agree to attempt to resolve any disputes amicably before resorting to arbitration.

9. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

10. Modifications to Terms

The Studio reserves the right to modify these terms and conditions at any time. Any changes will be posted on our website and will become effective immediately upon posting. It is the Client's responsibility to review these terms and conditions periodically for any updates or changes. Continued use of our Services after any such changes constitutes acceptance of the new terms.

11. Termination

The Studio may terminate these terms and conditions and the Client's access to the Services at any time, with or without cause. The Client may terminate these terms and conditions by ceasing to use the Services and providing written notice to the Studio. Upon termination, the Client's rights to use the Content shall cease, and the Client shall return or destroy all copies of the Content in its possession.
